## 5. No Unauthorized Use. You agree not to (i) use the account, username, screen name, or password of any other user at any time; (ii) allow or enable any third party to use your account, username, screen name, or password; or (iii) sell, rent, borrow, or otherwise transfer your account, temporarily or permanently, to any third party. If you violate these Terms, nWay reserves the right in its discretion to issue you a warning or immediately suspend or terminate your account and your right to access and use the Service. You agree that nWay does not need to provide you with notice before terminating or suspending your account and/or your right to access and use the Service. ## 6. nWay Service ### a. Service Content. You acknowledge that all intellectual property rights in our Site and our Service and the underlying technology, and all information and content available on our Site and on our Service, excluding Your Content but including games, accounts, characters, and Virtual Currency and Virtual Goods (as such terms are defined below) (collectively, the “Service Content”), are owned by us and our suppliers (including other users). The Service Content is protected by copyright laws throughout the world. Subject to your compliance with these Terms, nWay grants you a limited license to view and use the Service Content for your personal non-commercial entertainment purposes. No other use of the Service Content is authorized. In consideration of this authorization, you agree that any copy of the Service Content that you make shall retain all copyright and other proprietary notices in the same form and manner as on the original. You may not otherwise use, download, upload, print, display, perform, reproduce, publish, license, post, transmit, modify, create derivative works of, reverse engineer, disassemble, decompile, adapt, distribute, transfer, or exploit any Service Content in whole or in part without our prior written authorization. We and our suppliers (including other users) reserve all rights not granted in these Terms. There are no implied licenses. ### b. NFTs. One of the features of our Service facilitates interaction with certain decentralized cryptographic protocols (“Protocols”) to help you craft and execute transactions on the decentralized blockchain(s) supported by the Services (“Blockchain”) to: (i) create (aka “mint”) non-fungible tokens (“NFTs”), and (ii) purchase, trade, and sell NFTs via third party platforms.
i. Linking Your Wallet to the Platform. You may access and use this feature of the Service by linking your digital asset wallet(s) (“wallet”) on supported centralized and decentralized bridge extensions, hosted wallets, or other third party crypto providers (such as, MetaMask or Coinbase), which allows you to purchase, sell, store, or otherwise engage with supported NFTs. Before putting up an NFT for sale or putting in an offer to purchase an NFT from another user, we will ask you to download a supported digital asset wallet extension and connect and unlock your user wallets with that extension (“linked user wallet”). Once you submit an order to sell or purchase an NFT, your order is passed on to the applicable extension, which completes the transaction on your behalf.
ii. THE SERVICE FACILITATES AN INTERFACE WITH THE PROTOCOLS AND BLOCKCHAIN, WHICH WE DO NOT OWN OR CONTROL. WE ARE NOT A MARKETPLACE FACILITATOR, A BROKER, FINANCIAL INSTITUTION, OR CREDITOR. WE ARE NOT A PARTY TO ANY AGREEMENT BETWEEN THE PURCHASER AND SELLER (AS DEFINED BELOW) OF NFTS OR BETWEEN ANY USERS OF THE SERVICE.
iii. YOU BEAR FULL RESPONSIBILITY FOR VERIFYING THE LEGITIMACY AND AUTHENTICITY OF NFTS YOU PURCHASE. ### c. Transactions Are Conducted Onchain or via Third Party Providers. We do not mint, buy, sell or take custody or possession of any NFTs, or act as an agent or custodian for any user of the Services. To list an NFT for sale, such NFT must be sent to a Blockchain-based listing smart contract, which is deployed by a third-party Protocol. If you elect to mint, purchase, trade or sell any NFTs, or otherwise use our Service to interact with the Blockchain, all such activity will be conducted solely and automatically through the Blockchain on which such NFT is recorded using your linked user wallet. You will be required to make or receive payments exclusively through the linked user wallet. For instance, if you elect to mint an NFT, your NFT will be deployed automatically after the Blockchain-based smart contract receives the Transaction (as defined below) as an input from your linked user wallet. You are the executor of the Transaction, and Wayland facilitates the execution of the Transactions by pre-signing the Transaction. We do not have any discretion or control over this process. We do not have the ability to reverse any payments or Transactions. Accordingly, we will have no liability to you or to any third party for any claims or damages that may arise as a result of any transactions that you engage in via the Services. There may be royalties associated with the secondary sale of any NFT. You acknowledge and agree that the payment of any such royalty shall, in certain circumstances, be programmed to be self-executing via a Blockchain’s non-fungible token standard and nWay does not have any control or ability to direct such funds or the obligation to collect such fees. ### d. Transaction Fees. For each time you use the Service to assemble or dissemble an NFT facilitated by the Service (each, a “Transaction”), you expressly authorize us (or our third-party payment processor) to charge you for such Transaction (“Transaction Fee”). We may ask you to supply additional information relevant to your Transaction, including your blockchain address, third-party wallet information, credit card number, the expiration date of your credit card, your email and postal addresses for billing and notification (such information, “Payment Information”). You represent and warrant that you have the legal right to use all payment method(s) represented by any such Payment Information. When you initiate a Transaction, you authorize us to provide your Payment Information to third parties so we can complete your Transaction and to charge your payment method for the type of Transaction you have selected (plus any applicable taxes and other charges). You may need to provide additional information to verify your identity before completing your Transaction (such information is included within the definition of Payment Information). By initiating a Transaction, you agree to the pricing, payment and billing policies applicable to such fees and charges, as posted or otherwise communicated to you. All Transaction Fees are non-refundable and non-transferable except as expressly provided in these Terms. All fees and applicable taxes, if any, are payable in United States dollars (USD), Ethereum (ETH) or Bitcoin (BTC).
### e. Protocol and Other Third Party Fees. “Gas Fees” mean the fees that fund the network of computers that run the Blockchain network, meaning that you will need to pay a Gas Fee for each Transaction that occurs via the Blockchain network. If you are a Seller, you authorize nWay to automatically charge you for any fees due to nWay under these Terms or deduct such fees (including the Transaction Fee) directly from your amounts paid to you by the Purchaser. ### f. nWay Balance. Certain NFT transactions will allow you to receive credits in your nWay account (“nWay Balance”). Your ability to receive nWay Balance is subject to your compliance with these Terms. nWay Balance is non-transferable to other users. ### g. nWay Credit Claims Process. If you are eligible to receive a nWay Credit, we, or our third party payment processor, may require that you provide proof that you are. If you do not provide such proof to us or other applicable partners’ reasonable satisfaction, then you will not receive the relevant nWay Credit. If you receive nWay Credit in error, we may reverse or require return of the allocation in your nWay Balance. You agree to cooperate with our efforts to do this.
### h. Taxes. Each party shall be responsible for all taxes imposed on its income or property. Users will be responsible for paying all such fees.
### i. Withdrawal Arrangements. Provided that your Account balance is valued over USDC 10 and you are an Eligible User, you may apply to claim your nWay Credit to your external wallet until Jul 31, 2025. “Eligible Users” are users that have Assets in nWayPlay accounts and that have successfully completed the Know-Your-Customer (KYC) process except for the following: * Users that are banned for fraudulent activity; * Users that are from sanctioned countries; * Users that have not successfully completed KYC or are unable to complete KYC; * Users that have less than or equal to the withdrawal fee (10 USDC)--e.g. users holding balance below the minimum withdrawal limit. \
### k. Custody and Administration Fees for Unclaimed Balances. With effect from May 28, 2025, for Users that have not effected withdrawals by May 28, 2025, we will convert your Account balance to USDC and charge a monthly custody and account administration fee (“Custody and Admin Fee”) of USDC 10 of your Account balance per month, until the Account balance reaches zero (i.e. no further fees will be charged once the Account balance is zero). The Custody and Admin Fee will be calculated based on your Account balance as at 11:59pm UTC on May 28, 2025 and charged each month on the last day of the month.
### l. Unclaimed NFTs. Upon termination of the migration period and the subsequent decommissioning of the nWayPlay website, rendering the nWayPlay custodial wallet inaccessible, then nWay will make a reasonable attempt to return any NFT balances to the User, but if we are unable to contact the User, users shall forfeit access to any NFTs that remain unclaimed.
### m. Know-Your-Customer \[“KYC”]. We reserve sole discretion to require any User who wishes to withdraw funds post-December 16, 2024 to submit supporting documents and other information to prove ownership of account, refresh their KYC profile and/or explain their delay in effecting withdrawals. ## 7. Feedback. If you provide any suggestions, ideas, feedback, or recommendations to us regarding the Service (“Feedback”), we may use such Feedback for any purpose and without any obligation to you. So that we may incorporate Feedback into the games, products, and services, we may offer to you and/or other users, you agree that nWay alone will own all worldwide right, title and interest, including all related intellectual property rights, in and to all Feedback and you hereby irrevocably and unconditionally assign such Feedback and all such rights to nWay free of charge. If such assignment is ineffective under applicable law, you hereby grant to nWay, under all intellectual property and proprietary rights, a worldwide, perpetual, irrevocable, non-exclusive, fully-paid and royalty-free license, with the right to sublicense through multiple levels, to store, reproduce, modify, create derivative works of, publish, distribute, transfer, transmit, publicly display, publicly perform, use and exploit in any manner any and all Feedback. To the extent permitted by applicable laws, you hereby waive any moral rights or rights of publicity or privacy you may have in the Feedback. ## 8. Acceptable Use and Conduct. You are solely responsible for your conduct when using the Service and you agree that you will use our Service in compliance with all applicable laws and regulations. ## 9. Your Content. We do not claim ownership in any text, images, sounds, video, and other material, information, or content, uploaded to, or transmitted on or through, the Service by you (“Your Content”). By uploading or posting Your Content, you grant us the right and license to store, reproduce, modify, create derivative works of, publish, distribute, transfer, transmit, publicly display, publicly perform, and otherwise use Your Content in connection with providing our Service. You agree that this license includes the right for us to make Your Content available to other users of the Service, who may also view and/or use Your Content subject to these Terms. You are responsible for Your Content that you post to the Service, including its legality, reliability, and appropriateness. You should only upload or post Your Content to our Service (a) for which you are willing to grant the licenses described above and (b) for which you have sufficient rights to grant the licenses described above. You represent and warrant that: (1) you own Your Content or otherwise have the right to grant the licenses set forth in these Terms and (2) Your Content does not violate the privacy rights, publicity rights, copyright rights, or other proprietary rights or intellectual property rights of any person. ## 10. Prohibited Content. You agree that you will not post, exchange, make available, provide, or process any Prohibited Content. “Prohibited Content” includes content that: (a) is offensive or promotes racism, bigotry, hatred or physical harm of any kind against any group or individual; (b) bullies, defames, harasses or advocates stalking of, or intimidates another person; (c) involves the transmission of “junk mail,” “chain letters,” or unsolicited mass mailing, or “spamming;” (d) is false or misleading or promotes, endorses or furthers illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous; (e) is threatening, including threats directed at minors, threats against another individual or their family, and other such remarks which, in our opinion, are outside the scope or context of the game; (f) infringes another person’s content without a license to do so, whether or not the intellectual property is registered (or filed for registration) in any country; (g) promotes, copies, performs or distributes an illegal or unauthorized copy of another person’s work, whether it is protected by copyright or trade secret law, or not, such as, without limitation, presenting the work of a third party as your own (plagiarism) or providing pirated music, videos, or movies, or links to such pirated music, videos, or movies; (h) contains viruses, Trojan horses, worms, time bombs, or similar software; or (i) otherwise violates these Terms or creates liability for us. You represent and warrant that: (1) you own Your Content or otherwise have the right to grant the licenses set forth in these Terms and (2) Your Content does not violate the privacy rights, publicity rights, copyright rights, or other proprietary rights or intellectual property rights of any person. ## 11. Prohibited Conduct. You agree that you will not initiate, engage in, or promote Prohibited Conduct in connection with the use of our Site or Service, or to mimic in-game experiences in the real world. “Prohibited Conduct” includes: (a) cheating or using, developing or distributing automation software programs (“bots”), “macro” software programs or other “cheat utility” software programs or applications which are designed to modify the Service or the nWay experience; (b) exploiting, distributing or informing other users of any game error, miscue or bug which gives an unintended advantage; (c) interfering or disrupting, or attempting to interfere or disrupt, any computer or network used to provide or support the Site or Service including by (i) covering or obscuring any advertisements on any web page that is part of our Site or Service via HTML/CSS, scripting, or any other means, (ii) creating an undue burden on our Service or our network, (iii) introducing software or automated agents to our Service so as to produce multiple accounts, generate automated messages, or to strip or mine data from our Service, (iv) modifying any data or equipment to manipulate the functionality of our Service, or (v) interfering with any other user’s experience; (d) promoting or encouraging any illegal activity including hacking, cracking or distribution of counterfeit software, or cheats or hacks for the Service; (e) restricting or inhibiting any other user from using and enjoying the Site or Service (such as, but not limited to, disrupting the flow of chat in chat rooms with Prohibited Content, hitting the return key repeatedly, inputting excessively large images so the screen goes by too fast to read, use of excessive SHOUTING (all caps) in an attempt to disturb other users, or flooding (continuous posting repetitive text)); (f) promoting, encouraging, advocating, or providing instructional information about illegal activities such as, without limitation, making or buying illegal weapons, illegal drugs, or illegal substances, committing real world crimes, violating someone’s privacy, or providing or creating computer viruses and other harmful code; (g) exploiting persons under the age of eighteen (18) in a sexual or violent manner, or soliciting personal information from anyone under eighteen (18); (h) soliciting passwords or personally identifying information for commercial or unlawful purposes from other users; (i) except as approved by us in writing, conducting commercial activities and/or promotions such as contests, sweepstakes, barter, advertising, or pyramid schemes; (j) subleasing your account or offering “free space” on or other access to your account to third parties; (k) improperly using support channels or complaint buttons to make false reports to nWay; (l) violating any other terms governing the access or use of the Service; (m) using the Service for fraudulent transactions or for any purpose that violates any applicable local, state, national, or foreign laws, regulations, or treaties; or (n) otherwise creating liability for nWay, (o) engaging or assisting in any activity that violates any law, statute, ordinance, regulation, or sanctions program, including but not limited to the U.S. Department of Treasury’s Office of Foreign Assets Control (“OFAC”), or that involves proceeds of any unlawful activity (including, but not limited to, money laundering, terrorist financing or deliberately engaging in activities designed to adversely affect the performance of the Service); (p) engaging in wash trading, front running, pump and dump trading, ramping, cornering, or other deceptive or manipulative trading activities, including, but not limited to: (i) trading an NFT at successively lower or higher prices for the purpose of creating or inducing a false, misleading or artificial appearance of activity in such NFT; (ii) unduly or improperly influencing the market price for such NFT or establishing a price which does not reflect the true state of the market in such NFT; (iii) executing or causing the execution of any transaction in an NFT which involves no material change in the beneficial ownership thereof; (iv) participating in, facilitating, assisting or knowingly transacting with any pool, syndicate or joint account organized for the purpose of unfairly or deceptively influencing the market price of an NFT; and (v) fabricating in any way any transaction or process related thereto; or (q) placing misleading bids or offers. ## 12. Enforcement by Us. We have the right (but not the obligation) to review any or all portions of Your Content and delete (or modify) any of Your Content from our Site or Service for any reason, including if we believe, in our sole judgment, Your Content violates these Terms or is Prohibited Content, or that we believe, in our sole judgment, constitutes or promotes Prohibited Conduct or otherwise threatens the safety of, or harms any other person, or creates liability for us or any other person. You agree that nWay does not need to provide you with notice before terminating or suspending your account and/or your right to access and use the Service. ## **6. nWay Service** ### a. **Service Content.** You acknowledge that all intellectual property rights in our Site and our Service and the underlying technology, and all information and content available on our Site and on our Service, excluding Your Content but including games, accounts, characters, and Virtual Currency and Virtual Goods (as such terms are defined below) (collectively, the “Service Content”), are owned by us and our suppliers (including other users). The Service Content is protected by copyright laws throughout the world. Subject to your compliance with these Terms, nWay grants you a limited license to view and use the Service Content for your personal non-commercial entertainment purposes. No other use of the Service Content is authorized. In consideration of this authorization, you agree that any copy of the Service Content that you make shall retain all copyright and other proprietary notices in the same form and manner as on the original. You may not otherwise use, download, upload, print, display, perform, reproduce, publish, license, post, transmit, modify, create derivative works of, reverse engineer, disassemble, decompile, adapt, distribute, transfer, or exploit any Service Content in whole or in part without our prior written authorization. We and our suppliers (including other users) reserve all rights not granted in these Terms. There are no implied licenses.
### b. **NFTs.** One of the features of our Service facilitates interaction with certain decentralized cryptographic protocols (“Protocols”) to help you craft and execute transactions on the decentralized blockchain(s) supported by the Services (“Blockchain”) to: (i) create (aka “mint”) non-fungible tokens (“NFTs”), and (ii) purchase, trade, and sell NFTs via third party platforms. \ \ i. Linking Your Wallet to the Platform. You may access and use this feature of the Service by linking your digital asset wallet(s) (“wallet”) on supported centralized and decentralized bridge extensions, hosted wallets, or other third party crypto providers (such as, MetaMask or Coinbase), which allows you to purchase, sell, store, or otherwise engage with supported NFTs. Before putting up an NFT for sale or putting in an offer to purchase an NFT from another user, we will ask you to download a supported digital asset wallet extension and connect and unlock your user wallets with that extension (“linked user wallet”). Once you submit an order to sell or purchase an NFT, your order is passed on to the applicable extension, which completes the transaction on your behalf. \ \ ii. THE SERVICE FACILITATES AN INTERFACE WITH THE PROTOCOLS AND BLOCKCHAIN, WHICH WE DO NOT OWN OR CONTROL. WE ARE NOT A MARKETPLACE FACILITATOR, A BROKER, FINANCIAL INSTITUTION, OR CREDITOR. WE ARE NOT A PARTY TO ANY AGREEMENT BETWEEN THE PURCHASER AND SELLER (AS DEFINED BELOW) OF NFTS OR BETWEEN ANY USERS OF THE SERVICE. \ \ iii. YOU BEAR FULL RESPONSIBILITY FOR VERIFYING THE LEGITIMACY AND AUTHENTICITY OF NFTS YOU PURCHASE.
### c. **Transactions Are Conducted Onchain or via Third Party Providers.** We do not mint, buy, sell or take custody or possession of any NFTs, or act as an agent or custodian for any user of the Services. To list an NFT for sale, such NFT must be sent to a Blockchain-based listing smart contract, which is deployed by a third-party Protocol. If you elect to mint, purchase, trade or sell any NFTs, or otherwise use our Service to interact with the Blockchain, all such activity will be conducted solely and automatically through the Blockchain on which such NFT is recorded using your linked user wallet. You will be required to make or receive payments exclusively through the linked user wallet. For instance, if you elect to mint an NFT, your NFT will be deployed automatically after the Blockchain-based smart contract receives the Transaction (as defined below) as an input from your linked user wallet. You are the executor of the Transaction, and Wayland facilitates the execution of the Transactions by pre-signing the Transaction. We do not have any discretion or control over this process. We do not have the ability to reverse any payments or Transactions. Accordingly, we will have no liability to you or to any third party for any claims or damages that may arise as a result of any transactions that you engage in via the Services. There may be royalties associated with the secondary sale of any NFT. You acknowledge and agree that the payment of any such royalty shall, in certain circumstances, be programmed to be self-executing via a Blockchain’s non-fungible token standard and nWay does not have any control or ability to direct such funds or the obligation to collect such fees.
### d. **Transaction Fees.** For each time you use the Service to assemble or dissemble an NFT facilitated by the Service (each, a “Transaction”), you expressly authorize us (or our third-party payment processor) to charge you for such Transaction (“Transaction Fee”). We may ask you to supply additional information relevant to your Transaction, including your blockchain address, third-party wallet information, credit card number, the expiration date of your credit card, your email and postal addresses for billing and notification (such information, “Payment Information”). You represent and warrant that you have the legal right to use all payment method(s) represented by any such Payment Information. When you initiate a Transaction, you authorize us to provide your Payment Information to third parties so we can complete your Transaction and to charge your payment method for the type of Transaction you have selected (plus any applicable taxes and other charges). You may need to provide additional information to verify your identity before completing your Transaction (such information is included within the definition of Payment Information). By initiating a Transaction, you agree to the pricing, payment and billing policies applicable to such fees and charges, as posted or otherwise communicated to you. All Transaction Fees are non-refundable and non-transferable except as expressly provided in these Terms. All fees and applicable taxes, if any, are payable in United States dollars (USD), Ethereum (ETH) or Bitcoin (BTC). ### e. **Protocol and Other Third Party Fees.** “Gas Fees” mean the fees that fund the network of computers that run the Blockchain network, meaning that you will need to pay a Gas Fee for each Transaction that occurs via the Blockchain network. If you are a Seller, you authorize nWay to automatically charge you for any fees due to nWay under these Terms or deduct such fees (including the Transaction Fee) directly from your amounts paid to you by the Purchaser.
### f. **nWay Balance.** Certain NFT transactions will allow you to receive credits in your nWay account (“nWay Balance”). Your ability to receive nWay Balance is subject to your compliance with these Terms. nWay Balance is non-transferable to other users.
### g. **nWay Credit Claims Process.** If you are eligible to receive a nWay Credit, we, or our third party payment processor, may require that you provide proof that you are. If you do not provide such proof to us or other applicable partners’ reasonable satisfaction, then you will not receive the relevant nWay Credit. If you receive nWay Credit in error, we may reverse or require return of the allocation in your nWay Balance. You agree to cooperate with our efforts to do this. ### h. **Taxes.** Each party shall be responsible for all taxes imposed on its income or property. Users will be responsible for paying all such fees. ### i. Withdrawal Arrangements. Provided that your Account balance is valued over USDC 10 and you are an Eligible User, you may apply to claim your nWay Credit to your external wallet until Jul 31, 2025. “Eligible Users” are users that have Assets in nWayPlay accounts and that have successfully completed the Know-Your-Customer (KYC) process except for the following: * Users that are banned for fraudulent activity; * Users that are from sanctioned countries; * Users that have not successfully completed KYC or are unable to complete KYC; * Users that have less than or equal to the withdrawal fee (10 USDC)--e.g. users holding balance below the minimum withdrawal limit. ### k. Custody and Administration Fees for Unclaimed Balances. With effect from May 28, 2025, for Users that have not effected withdrawals by May 28, 2025, we will convert your Account balance to USDC and charge a monthly custody and account administration fee (“Custody and Admin Fee”) of USDC 10 of your Account balance per month, until the Account balance reaches zero (i.e. no further fees will be charged once the Account balance is zero). The Custody and Admin Fee will be calculated based on your Account balance as at 11:59pm UTC on May 28, 2025 and charged each month on the last day of the month. ### l. Unclaimed NFTs. Upon termination of the migration period and the subsequent decommissioning of the nWayPlay website, rendering the nWayPlay custodial wallet inaccessible, then nWay will make a reasonable attempt to return any NFT balances to the User, but if we are unable to contact the User, users shall forfeit access to any NFTs that remain unclaimed.
### m. Know-Your-Customer \[“KYC”]. We reserve sole discretion to require any User who wishes to withdraw funds post-December 16, 2024 to submit supporting documents and other information to prove ownership of account, refresh their KYC profile and/or explain their delay in effecting withdrawals.
## **7. Feedback** If you provide any suggestions, ideas, feedback, or recommendations to us regarding the Service (“Feedback”), we may use such Feedback for any purpose and without any obligation to you. So that we may incorporate Feedback into the games, products, and services, we may offer to you and/or other users, you agree that nWay alone will own all worldwide right, title and interest, including all related intellectual property rights, in and to all Feedback and you hereby irrevocably and unconditionally assign such Feedback and all such rights to nWay free of charge. If such assignment is ineffective under applicable law, you hereby grant to nWay, under all intellectual property and proprietary rights, a worldwide, perpetual, irrevocable, non-exclusive, fully-paid and royalty-free license, with the right to sublicense through multiple levels, to store, reproduce, modify, create derivative works of, publish, distribute, transfer, transmit, publicly display, publicly perform, use and exploit in any manner any and all Feedback. To the extent permitted by applicable laws, you hereby waive any moral rights or rights of publicity or privacy you may have in the Feedback. ## **8. Acceptable Use and Conduct** You are solely responsible for your conduct when using the Service and you agree that you will use our Service in compliance with all applicable laws and regulations. ## **9. Account means a unique account created and hosted by nWay and shall serve as a record of: (i) your acceptance of this Agreement; (ii) your use of the Services; and (iii) Transactions. Affiliate means, in relation to a Party, another person or entity that directly or indirectly owns or controls, is owned or controlled by, or is under common ownership or common control with the Party, or a Party's principal partners, shareholders, or owners of some other ownership interest. AML Program means the anti-money laundering and know your customer programs, policies and procedures in place at nWay, which nWay may modify from time to time in its sole discretion. Applicable Law means, with respect to any Person, any domestic or foreign, federal, state or local statute, law, ordinance, rule, administrative interpretation, regulation, order, writ, injunction, judgment, decree or other requirement of any Regulator which is legally binding and applicable to such Person or any of its Affiliates or any of their respective properties, assets, equity holders, officers, directors, members, partners, employees, consultants or agents. Approved Network means the blockchain or network supporting a NFT and Transactions in that NFT. Approved Regions means the United States, Canada and those places (a) not listed in Exhibit “A” to this Agreement (the “Prohibited Jurisdictions”) and (b) where the Services are made available, which nWay may modify from time to time in its sole discretion. Assets means, collectively, all NFTs in a Hosted Wallet and all Fiat and Stablecoin in the User PSW.
Eligible Users means users that have Assets in their nWayPlay accounts and that have successfully completed the Know-Your-Customer (“KYC”) process except for the following: * Users that are banned for fraudulent activity * Users that are from sanctioned countries specified in Exhibit A of this Agreement * Users that have not successfully completed KYC or are unable to complete KYC * Users that have less than or equal to the withdrawal fee (10 USDC)--e.g. users holding balance below the minimum withdrawal limit. External PSW means an account of the User at a third-party payment or Stablecoin wallet provider that is not the PSW Provider. External Wallet means a NFT Wallet owned by you or a third-party and from which nWay is not capable of initiating any Transaction. Fees means the fees applicable to the Services, or any element thereof, indicated in the Services or in your Account, which nWay may modify from time to time in its sole discretion. Fiat means real currency, specifically United States Dollars. Fiat or Stablecoin Transaction means a Transaction involving the transfer of Fiat or Stablecoin, respectively. Hosted Wallet means the nWay-hosted custodial service of allowing the User to store NFTs via the Account. NFT means a one-of-a-kind, non-fungible, cryptographic token representing a unique digital asset for which there is no copy or substitute. An NFT cannot be substituted for another NFT as each NFT is distinctive and unique in some way. An NFT is not a medium of exchange and is not convertible virtual currency. For example, an “Olympic Pin” is an NFT. NFT Transaction means a Transaction involving NFTs being transferred from one NFT Wallet to another. NFT Wallet means the Hosted Wallet, or a third-party service, device, code or protocol used to store NFTs or initiate NFT Transactions via the Account or otherwise. Other User means a Person that is not the User or an Affiliate of the User, who is party to an agreement with nWay substantively identical to this Agreement and that is a user of the Services. Person means any individual, corporation, limited liability company, partnership, joint venture, trust, unincorporated organization, Regulator or government or any agency or political subdivision thereof. Privacy Policy means the nWayPlay Privacy Policy, posted at the Site, as may be modified from time to time. "Site" is defined as accounts.nwayplay.com, as well as other nWay sites on which the Privacy Policy may be posted. PSW Provider means a third-party who provides Users with Fiat payments capabilities and Stablecoin Wallets subject to the User PSW Agreement. Circle Internet Financial, Inc. is a PSW Provider. Regulator means any federal, provincial, state or local or foreign government or any court, arbitrator, administrative or regulatory agency or commission or other governmental authority or agency. Settings means selections you make through the Account or in a means otherwise provided by nWay from time to time. Stablecoin means a type of cryptocurrency that attempts to maintain price stability relative to a reserve asset such as Fiat. Third-Party Content means links, graphics, images, social media content to third-party sites, content or other information supplied by third parties and that can be viewed or accessed from the Account or Site. Third-Party Servicer Agreement means an agreement between User and a Third-Party Servicer pursuant to which the Third-Party Servicer delivers their services. User PSW Agreement is a Third-Party Servicer Agreement. Third-Party Servicer means a third-party: (i) whose service are compatible with the Services, as indicated by nWay in the Account; (ii) that User has retained under a Third-Party Servicer Agreement; (iii) with whom User wishes to share User Data; and/or (iv) through which User wishes to deliver instructions to nWay with respect to the Account. Each PSW Provider is a Third-Party Servicer. Transaction means any of an NFT Transaction, Fiat or Stablecoin Transaction, or other transaction in NFTs or Fiat within or initiated by the Services. User Data means the information collected, stored, accessed or used by nWay in the course of supplying the Services in respect of the Account. User Device means an electronic device used by User to access the Services, such as a computer, tablet, mobile phone or other device. User KYC Information means information requested by nWay or provided by User in relation to the initial establishment of the Account or the subsequent operation of the Account and includes, but is not limited to, User name, address, email address, date of birth, government-issued photo identification, taxpayer identification number, government identification number, bank or other payment account information, IP address, a photo or video of the User, MAC address of User Device, payment account information (e.g. credit card) and User NFT Wallet information. User PSW Agreement means any agreement between User and PSW Provider governing the use of User PSW. User PSW means an account of the User at the PSW Provider. Prohibited Activity Includes but not limited to the operation of, or the direct or indirect facilitation of, any of the following: * Any act that is illegal in the United States or in the jurisdiction where the Person carrying out the activity is resident, domiciled or located; * Operation of a business that is similar to or competitive with the Services; * Operation of a crypto currency exchange; * Operation of a business which provides crypto currency wallets; * Operation of a payment processor, money transmitter, check casher, foreign exchange dealer, provider of prepaid access or other money services business; * Operation of a business involved in betting, including lottery tickets, casino gaming chips, off-track betting, memberships on gambling-related internet sites and wagers at races; * Bill payment services; * Credit counseling or repair agencies; * Credit protection or identity theft protection services; * Direct marketing or subscription offers; * Inbound or outbound telemarketing businesses including lead generation businesses; * Internet, mail or telephone order pharmacies or pharmacy referral services; Creation, promotion or sale of items that encourage, promote, facilitate or instruct others to engage in illegal activity; * Creation, promotion or sale of items that may be counterfeit; * Creation, promotion or sale of items that may infringe or violate any copyright, trademark, right of publicity or privacy or any other proprietary right under the laws of any jurisdiction; * Creation, promotion or sale of items that promote hate, violence, racial intolerance, or the financial exploitation of a crime; * Creation, promotion or sale of items that promote, support or glorify acts of violence or harm towards self or others; * Using the Services in any manner related to live animals; * Using the Services in any manner related to payment aggregators; * Purchase, sale or promotion of drugs, alcohol, or drug paraphernalia, or items that may represent these uses; * Unregulated sales of money-orders or foreign currency; * Using the Services for any illegal purpose, or in violation of any local, state, national, or international law, including, without limitation, laws governing intellectual property, taxation and other proprietary rights and data collection and privacy; * Using the Services in a manner that nWay or any of its suppliers reasonably believes to be an abuse of the Services; * Using the Services in a manner so as to avoid payment of Fees; * Using the Services in any manner that could damage, disable, overburden, or impair nWay or any of the Services including without limitation, using the Services in an automated manner; * Using the Services in any way that assists User or others in the violation of any law, statute or ordinance; * Using the Services to collect payments that support pyramid or ponzi schemes, matrix programs, other “business opportunity” schemes or certain multi-level marketing programs; * Using the Services to control an account that is linked to another account that has engaged in any of the foregoing activities; * Using the Services to defame, harass, abuse, threaten or defraud others, or collect, or attempt to collect, personal information about users, registered recipients, or third parties without their consent; * Using the Services to intentionally interfere with another user’s enjoyment of it, by any means, including uploading or otherwise disseminating viruses, adware, spyware, worms or other malicious code; * Using the Services to make unsolicited offers, advertisements, proposals, or to send junk mail or spam to others; * Using the Services to send or receive what nWay considers to be funds for something that may have resulted from fraud or other illegal behavior; * Using the Services while impersonating any person or entity or falsely claiming an affiliation with any person or entity; or * Using the Services in any manner related to weapons including replicas and collectible items. \

## EXHIBIT “B” ### Withdrawal Arrangements. Provided that your Account balance is valued over USDC 10, and you are an Eligible User, you may apply to claim your nWay Credit to your external wallet until Jul 31, 2025.
### Eligible Users for Withdrawal Claim. Eligible users are Users that have Assets in their nWayPlay accounts and that have successfully completed the Know-Your-Customer (“KYC”) process except for the following: 1. The Custody and Admin Fee will be calculated based on your Account balance as at 11:59pm UTC on May 28, 2025 and charged each month on the last day of the month.
### Know-Your-Customer “KYC”. We reserve sole discretion to require any User who wishes to withdraw funds post-May 28, 2025 to submit supporting documents and other information to prove ownership of the account, refresh their KYC profile and/or explain their delay in effecting withdrawals.
### NFT Migration Period The NFT Migration Period shall denote the time frame during which users are authorized to transfer their Non-Fungible Tokens (NFTs) from the nWayPlay custodial wallet operating on the Flow blockchain to a Base Smart Wallet situated on the Base blockchain. The NFT Migration Period shall commence on Jun 9, 2025, and conclude on Jul 31, 2025.
### Unclaimed NFTs.
